I have plan to work with my friends as a web development team. We are thinking to register ourselves as legal organisation. A Snd. Bhd., perhaps? Or... ?

Do we need to have legal licence to do online business? What are the procedures? Can we register as a club and do some small business to earn profit? Can we use website address or home addres to register?

I really need your guys help here.. Any suggestions or comments are welcome.

Hi, a Sdn. Bhd is good, but if you don't have a lot of capital to play with, you can start off as a partnership. (I think partnership formation is about RM50 - but im not really sure). But one catch about partnership is that is has unlimited liability, where as in a Sdn. Bhd, your liability is only limited to your company - and not your personal belongings. But if you don't intent to borrow money, you should be fine with a partnership.

If your forming a web development team, using your home as a registered office should be fine.

You do not need any special licenses to have a commercial website or trade online (unless your trading weapons or stuff like that ).

Registering for a Sdn Bhd costs about RM2k plus. You can always opt for the company secretary's office address as the registered office address. The limited liability is a plus point. If you are going to have business transactions with big companies, a Sdn Bhd gives you the "extra" reliability. At the same time, you must worry yourself with taxation issues as well. You can gain more info when you pay a visit to a company secretary.

However, if it's gonna be purely online business and home business kinda thing, you can just operate without any specific special license as long as your content does not violate any local laws.

Either ways, you have to be careful to abide with local laws as well as look out for taxation issues. It would help if you can explain more about your business venture.

does it mean I can accept payment for ad banners or accept payment for services done online without being registered as a business unit?

You can register Enterprise company costs RM50 and need to renew anually. You may not have a office.

any websites regarding business registeration in Malaysia?

You can browse http://www.kpdnhep.gov.my/ for general info. I guess there is no online registration because the prosedur must be manually.

Sdn bhd is expensive. try to register at ROB instead of ROC.

But i'm not sure whether u can use your home address for commercial purpse unless if ur house is located under commercial area. u have to check with ur local authority regarding the address. But for registration of business, u can use home address..only in case if u want to advertise or something...commercial address only.

Most of the time...ppl just use their home add even they are not in commercial area...but sometimes if u get unlucky...action will be taken for using ur house address for commercial and profit making purpose.

correct...and most government project need you to register with MOF....sometimes ppl use other company's name in order to bid for government tender...

By registering enterprise company, you can bid for Gov tender but need to register with MOF first. You can refer to Companies Commision of Malaysia & for MOF please refer to ePerolehan

MOF is so difficult to apply. There are lot of Sdn Bhd company did not have MOF. A lot of terms and condition need to be fullfill.
